    1. Services Overview

    Omnidya provides fleet management solutions consisting of:

    • Software Services: Real-time vehicle tracking, driver behavior monitoring, analytics dashboards, and API integrations.
    • Hardware Devices: AI-enabled dash cameras installed in commercial vehicles.

    Use of hardware requires compatible software subscription and proper installation as per Omnidya specifications.

    2. Eligibility & Registration

    You must be a business entity or authorized representative of a business entity to register and use the Services. You agree to provide accurate, current, and complete registration details and to keep them updated.

    3. Licensing & Usage
    • Omnidya grants you a non-exclusive, non-transferable, revocable license to use the software services during the subscription term.
    • The software may only be used with authorized hardware and in accordance with applicable law.

    You shall not:

    • Reverse-engineer, decompile, or tamper with the software or firmware;
    • Resell or sublicense the Services without our written consent;
    • Use the system for unlawful tracking, surveillance, or data collection.
    4. Hardware Ownership & Responsibility
    • Hardware devices (e.g., dash cameras) are sold or leased as per your commercial agreement.
    • You are responsible for ensuring proper installation, ongoing maintenance, and safe usage of the hardware.
    • Omnidya shall not be liable for damage resulting from misuse, unauthorized repair, or physical tampering.
    5. Fees & Payment
    • Subscription fees and hardware charges are specified in your commercial agreement or invoice.
    • Payments must be made in accordance with the agreed billing cycle.
    • Late payments may result in suspension or termination of access to the Services.
    6. Data Usage & Privacy
    • Data collected through our Services (vehicle location, driving behavior, video recordings, etc.) is processed in accordance with our [Privacy Policy].

    8. Support & Maintenance
    • Omnidya provides standard software and technical support during business hours. Hardware support is available per your service agreement and is limited to usage guidance, troubleshooting, and configuration support.
    9. Limitation of Liability

    To the fullest extent permitted by law:

    • Omnidya is not liable for any indirect, incidental, or consequential damages arising out of your use of the Services.
    • Our total liability under these Terms shall not exceed the amount paid by you for the Services during the preceding 12 months.
    10. Termination
    Either party may terminate the Services:
    • For convenience with 30 days’ written notice;
    • Immediately for material breach, insolvency, or illegal use.

    Upon termination, all licenses are revoked and data access may be restricted.

    11. Governing Law & Dispute Resolution
    • These Terms shall be governed by and construed in accordance with the laws of India.
    • All disputes shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat.
